The Commercial Code of Costa Rica regulates commercial transactions in Costa Rica. The Commercial Code is divided into five sections as follows: Book I - Corporate Formation and Commercial Enterprise This section covers all aspects of corporate formation, dissolution, liquidation and merger of corporate forms. Book II - Contracts and Obligations This section covers all aspects of commercial obligations and contracts. Book III – Negotiable Instruments This section discusses the different forms of negotiable instruments. Book IV – Bankruptcy This section covers the field of Costa Rican Bankruptcy law. Book V - Statute of Limitations This section discusses the time limits for enforcement of commercial obligations.
